OFFICIAL RULES
NO PURCHASE NECESSARY TO ENTER OR WIN. A PURCHASE WILL NOT INCREASE OR OTHERWISE IMPACT YOUR CHANCES OF WINNING. OPEN ONLY TO LEGAL RESIDENTS OF CANADA WHO: (I) ARE CURRENT UNIVERSITY STUDENTS; AND (II) HAVE REACHED THE LEGAL AGE OF MAJORITY IN THEIR PROVINCE/TERRITORY OF RESIDENCE AT THE TIME OF ENTRY. MUST HAVE OR OBTAIN A FREE INSTAGRAM ACCOUNT, AS WELL AS EITHER A FREE VIMEO OR A FREE YOUTUBE ACCOUNT TO PARTICIPATE. USE CAUTION AND COMMON SENSE WHEN PARTICIPATING IN THIS CONTEST. RESPECT AND ENSURE THE SAFETY OF YOURSELF AND OTHERS.

1. KEY DATES: RED BULL CAN YOU MAKE IT CONTEST (CANADA) (“Contest”) is organized by Red Bull Canada, Ltd (the “Sponsor”) and begins on October 1, 2019 at 9:00 a.m. Eastern Time (“ET”) and ends on February 24, 2020 at 11:59 p.m. ET (“Contest Period”). During the Contest Period, there is: (i) a Registration Phase (as defined below in Section 3.2); (ii) a Social Voting Phase (as defined below in Section 6.1); and (iii) a Panel Judging Phase (as defined below in Section 6.2). The time will be determined by Sponsor’s timekeeping systems. Sponsor has the sole discretion in determining the timeliness of any action or inaction related to this Contest.

2. ELIGIBILITY:

2.1 The Contest is only open to legal residents of Canada who:

• have reached the legal age or majority in the province/territory in which they reside at the time of entry;
• are a natural person participating in a personal capacity;
• are a current university student at the time of entry;
• have or obtain a free Vimeo account or a free YouTube account;
• Have or obtain a free Instagram account, in order to participate in the Event (defined below); and
• have or obtain a valid passport with at least six months validity from April 1, 2020.

2.2 Sponsor and its parent companies, subsidiaries, affiliates, judges, advertising agencies, public relations agencies, prize suppliers, including any company and/or individual providing services in connection with this Contest (collectively, the “Sponsor Affiliates”), and employees, agents, directors, officers (including members of their immediate family – i.e., spouse, mother, father, in-laws, grandmother, grandfather, brother, sister, children and grandchildren – or those living in the same household, whether related or not) of Sponsor or any Sponsor Affiliates are not eligible to participate. Contest is subject to all applicable federal, provincial/territorial and local laws.

2.3 You acknowledge and agree that this Contest and these Official Rules only apply to entrants from Canada who want to have the chance to win a participation in the “Red Bull Can You Make It” challenge described in the Terms of Participation set forth at http://www.redbullcanyoumakeit.com/rules/ (the “Event”). IMPORTANT NOTE: THE EVENT IS BEING SPONSORED, ADMINISTERED AND FULFILLED BY RED BULL GMBH. SPONSOR HAS NO DIRECT INVOLVEMENT IN THE ADMINISTRATION AND/OR FULFILLMENT OF THE EVENT.

3. HOW TO REGISTER AND TO ENTER. NO PURCHASE NECESSARY:

3.1 To be eligible participate, entrants must have or obtain a free Instagram account, as well as a free YouTube® account or a free Vimeo® account that is open to the public (an account where anyone can subscribe to follow your videos). For the avoidance of any doubt, your Vimeo account or YouTube account cannot be set to a private option (e.g. where a user must approve all “follow” requests). If you are not a registered user of Instagram, Vimeo or YouTube, you can register for a free account either at www.instagram.com, www.vimeo.com, or www.youtube.com, respectively. Becoming a registered user of these services is free of charge.

3.2 To enter, register yourself and your team online on www.redbullcanyoumakeit.com (“Website”) during the registration phase starting on October 1, 2019 at 9:00 a.m. ET, and ending on February 17, 2020 at 11:59 p.m. ET (the “Registration Phase”). Registrations received by Sponsor outside this Registration Phase will not be considered and will have no entitlement whatsoever pursuant to these Official Rules.

3.3 Each participating team must consist of three (3) team members. Each member of a single team has to be legal resident of Canada and otherwise must meet all of the eligibility criteria outlined in Section 2.1 of these Official Rules. If members of a single team are attending different universities, you will need to choose and specify only one (1) of those universities when registering.

3.4 In order to successfully register, you will be required to enter the following details with regard to each team member: first and last name, valid e-mail address, phone number and home address. In addition, the following team information will have to be provided: (i) name of country (where all 3 members are residents); (ii) name of the university that at least one member of the team is currently attending; (iii) team name; (iv) team avatar/photo; (v) a description explaining the team personality; (vi) answers to the application questions; and (vii) a URL to your application video (your “Video”) (explaining why should your team be chosen to compete?) that you will have to upload on the Website via YouTube or Vimeo. Your Video must be no more than 60 seconds in length. By participating, each member of the team accepts and acknowledges that they may, in the sole discretion of the Sponsor, have some or all of the above information/details about them published online on the Website, except from their e-mail address phone number and home address. The right to participate in the Contest is personal and non-transferable.



3.5 Your entry, including the Video, must meet all of the criteria mentioned under the Official Rules - including, but not limited to, the Required Representations and Warranties set forth under section 5 below. Failure to complete any step outlined in, or to follow any of, the Official Rules may result in disqualification of the attempted entry. Without limiting the generality of these Official Rules – if you use YouTube to participate in this Contest, then your Video must comply with the YouTube Community Guidelines (available at: https://www.youtube.com/yt/policyandsafety/communityguidelines.html). Any Video that does not comply with the YouTube Community Guidelines will be disqualified.

3.6 By entering this Contest, you consent to be legally bound by Sponsor’s Terms of Service, Privacy Policy, and these Official Rules.

3.7 Limit of one (1) entry per team submitted by one member of the team is allowed. Individuals are permitted to be a member of more than one (1) team (if an individual is a member of more than one (1) selected winning team, he/she must choose which selected winning team he/she will be a part of for the purposes of participating in the Event, and the other selected winning team(s) must find an eligible replacement member within fourty eight (48) hours of notification from the Sponsor).

3.8 Sponsor reserves the right to verify the email address provided to Sponsor by entrant and to require proof of age, identity and/or any other provided details at any time at its discretion. In the event of any dispute, entries containing an invalid e-mail address or incorrect data (including, but not limited to, incorrect data regarding the age or residence of the entrant) will be deemed ineligible.

3.9 Late, illegible, incomplete, defaced or corrupt entries will not be accepted. No responsibility can be accepted for lost entries and proof of transmission will not be accepted as proof of receipt.

3.10 In the event of a dispute over who submitted an entry, the entry will be deemed to have been directly submitted by the authorized account holder of the primary e-mail address associated with the account. The authorized account holder is deemed to be the natural person who is assigned to the e-mail address associated with the relevant account by the relevant entity responsible for assigning e-mail addresses for the relevant domain.

4. RIGHTS GRANTED BY ENTERING THE CONTEST:

4.1 Entry Materials submitted during the Registration Phase. The entrant hereby assigns and grants to the Sponsor including its parents, subsidiaries, affiliates and supporting parties any and all rights, title and interest in and to all entries and materials submitted to Sponsor in connection with the registration entry (including, but not limited, to the Video and other material mentioned under Section 3 of these Official Rules), including your voice, image, photograph, statements, biographical information, performances, name and likeness and including any user generated content (collectively, "Entry Materials") under current and future law to the broadest extent possible according to applicable law. To the extent that rights are not assignable, the entrant hereby grants to the Sponsor the irrevocable, worldwide, perpetual, exclusive, transferable and unlimited rights (unlimited in terms of territory, time or purpose) to copy, distribute, transmit, publish, perform, display, make derivative works from, exploit, and otherwise use the Entry Materials in any known or yet unknown kind of use. This includes in particular but is without any payment or notice to the entrant. If a court or any other authority finds that the exclusive grant above is not fully effective for any reason, the entrant hereby grants to the Sponsor the irrevocable, worldwide, perpetual, non-exclusive, transferable and unlimited rights (unlimited in terms of territory, time or purpose) to copy, distribute, transmit, publish, perform, display, make derivative works from, exploit, and otherwise use the Entry Materials in any known or yet unknown kind of use without any payment or notice to the entrant. Entrant waives any and all moral rights (sometimes referred to as “droit moral” or similar terms) in the Entry Materials in favour of Sponsor and anyone authorized by the Sponsor to use the Entry Materials. The conveyances and licenses in this section include in particular, but are not limited to, the following rights: the broadcasting right, the right of making available to the public (download/on-demand-rights), the film theatre right (cinematic/exhibition right), the video rights, the right of distribution and copying, the right of alteration and dubbing, the right of promotion, the merchandising right, the publishing right and the stage drama, radio drama and audio/talking book rights. Furthermore, the Sponsor acquires the right to make any alterations, intermissions, deletions, cuts or other modifications in and to the Entry Materials and the exclusive right to exploit such altered version in any matter. The Sponsor, Sponsor’s Affiliates and any supporting parties shall be enabled to exploit the Entry Materials without any limitations and regardless of the medium via which the exploitation takes place. Sponsor is however not obliged to make use of these rights. Sponsor is further irrevocably entitled to assign the rights entirely or in part to any third parties and to grant any sublicenses respectively rights of exploitation and/or exploitation permissions or to exercise the rights in its own name or through third parties. The sole consideration for this comprehensive assignment and grant of rights shall be to get the chance to win a prize in the Contest. Sponsor, Sponsor’s Affiliates and partners may be required to request you to enter into a separate license agreement permitting Sponsor to use the Entry Materials for reasonable promotional, administrative or other purposes beyond the reasonable expectation of the entrant.

4.2 User Content uploaded by team members on the Website. During the Contest Period, Sponsor permits users of the Website to display messages, text, illustrations, data, files, images, graphics, photos, comments, sounds, music, videos, information, content, and/or other materials (“User Content”) through the Website. If you use such functionalities, you shall comply with the “Terms of Use” found at http://www.redbullcanyoumakeit.com/rules/.

5. REQUIRED REPRESENTATIONS AND WARRANTIES:

5.1 To be eligible, all entries (which term includes without limitation, the Entry Material and the submitted Video) must comply with the following criteria (collectively, the “Required Representations and Warranties”):

(i) In the planning, creation, posting and distribution of your entry (including, without limitation, the submitted Video), you warrant and represent that you will abide by all laws, regulations, and ordinances and that you will not harm, attempt to harm, or threaten to harm any person (including yourself) or property. You further warrant and represent that you will take the highest level of care in planning, creating, and distributing your entry (including, without limitation, the submitted Video).


(ii) You hereby confirm that the personal data you enter in connection with the Contest is accurate and up to date.

(iii) You hereby warrant and represent that you personally performed and otherwise participated in the Contest to meet the criteria set out under these Official Rules associated with your entry or by your own creation of other materials such as user generated content as specified in these Official Rules and that you have not used any prohibited aids, such as automatic robots, scripts, services or other forms of manipulation.

(iv) Your entry and Video must be your own original work, created and shot by and/or featuring you; must not have been previously published, released or distributed in any form; must not have been entered into any other drawing or competition nor won any award. Modification of an existing video does not count as original for purposes of this Contest. The entry and Video must not contain any material that could violate or infringe upon the rights of any person or entity, including without limitation copyrights, trademarks or rights of privacy or publicity, or that is defamatory, threatening, indecent, obscene or offensive, or that is unlawful, in violation of or contrary to any applicable laws or regulations, or which requires a license from any third party.

(v) You represent that you have the express consent of any identifiable persons appearing in the entry or Video to their likeness being used in the ways set out in these Official Rules, including Sponsor’s right to use the entry and Video for any future commercial purpose without restrictions. Upon request, you will obtain written consent of any such persons for Sponsor. If any person appearing in the entry or Video is under the legal age of majority in their province or territory of residence, the written consent and signature of a parent or legal guardian is required. The entry and Video must not contain any personally identifiable information of any person.

(vi) Except for the marks of the Sponsor (addressed below), the entry and Video must not contain or reference any names, products or services of any company or entity or any third party trademarks, logos, trade dress or promotion of any brand, product, or service. Sponsor grants you the limited permission to display its marks and products in your entry and Video solely for purposes of entering this Contest and subject to these Official Rules.

(vii) The entry and Video must be appropriate for public viewing (as determined by the Sponsor in its sole discretion). Without limiting the foregoing, the entry and Video must not be lewd, obscene, sexually explicit, pornographic, disparaging, defamatory, libellous, violate any laws or otherwise contain content, which Sponsor in its sole discretion decides is inappropriate or objectionable. Your entry must also not disparage or cast a negative light on any person, entity, or brand, product, or service.

5.2 Entries (including, without limitation, the submitted Entry Materials and Video and their captions) that do not comply with the above requirements may not be eligible and, if submitted, may be removed at any time in Sponsor’s sole discretion. Sponsor reserves the right in its sole discretion to disqualify any entry that it believes violates or potentially violates any of the foregoing requirements or otherwise fails to comply with any provision of these Official Rules. Entrants agree to reimburse Sponsor and Sponsor Affiliates in full in respect of any losses, damages, and expenses, including reasonable attorney fees that they may sustain from the breach of the representation or warranty made by the entrant or the use of any rights granted by the entrant to Sponsor hereunder. By entering, entrant warrants that the submitted entry, Entry Materials and Video comply all requirements set out herein – including, but not limited to, those at Section 5.1 (i)-(vii) above.

5.3 In case of an infringement of this Section 5, you shall defend and indemnify the Released Parties (as defined herein) from and against any and all claims, damages, liabilities, costs, and expenses arising from such infringement – including, but not limited to, any claim based on publicity rights, defamation, invasion of privacy, copyright infringement, trade-mark infringement or any other intellectual property related or other cause of action whatsoever.

5.4 The Video must comply with all of YouTube’s and Vimeo´s requirements and terms (www.youtube.com/t/terms?gl=US and www.vimeo.com/terms) regarding the use of their services. Any Video that does not comply will be disqualified.

6. WINNER SELECTION:

The winner selection comprised two phases: (i) the Social Voting Phase, and (ii) the Panel Judging Phase.

6.1 The Social Voting Phase: The Social Voting Phase is the first phase of the selection process. During this phase, all Videos from teams that successfully registered during the Registration Phase will be made available on the Website for public vote from February 18, 2020 at 12:00 pm ET to February 24, 2020 at 11:59 pm ET via a “Like” button (the “Social Voting Phase”). The Social Voting will identify twelve (12) Canadian teams that will become the semi-finalists of the Contest. In fact, the twelve (12) Canadian teams receiving the highest number of eligible votes (as determined by the Sponsor in its sole discretion) during the Social Voting Phase will be declared as semi-finalists under these Official Rules. In the event of a tie [based on the number of eligible votes (as determined by the Sponsor in its sole discretion) during the Social Voting Phase] that would result in more than twelve (12) Canadian teams becoming semi-finalists of the Contest – all such teams that are tied (as determined by the Sponsor in its sole discretion) will be eligible to move forward as semi-finalists. The semi-finalists are scheduled to be announced on February 25, 2020. To vote, a person must visit the Website, create or login to his/her free Red Bull online account, and submit a vote as described above during the Social Voting Phase. There is a limit of one (1) vote per person, per Video, per twenty-four (24) hours. This means that the same person cannot vote on the same Video more than one (1) time in a twenty-four (24) period. However, the same person can vote on multiple Videos during the twenty-four (24) period – provided he/she does not submit more than one (1) vote per Video.






If it is discovered by the Sponsor (using any evidence or other information made available to or otherwise discovered by the Sponsor) that attempts were made by anyone to: (i) submit votes in excess of the limits noted above; (ii) use any automated, macro, script, robotic or other system(s) or program(s) to submit votes; (iii) engage in any form of systematic voting from the same computer/IP address; and/or (iv) engage in any form of proxy voting scheme; then it may result in the disqualification, in the sole discretion of the Sponsor, of the votes, entry and/or entrant to which such votes relate. Any votes determined by Sponsor, in its sole discretion, to be in violation of the Sponsor’s interpretation of the letter and/or spirit of these Official Rules (including, without limitation, votes that cannot be validated in accordance with these Official Rules to the complete satisfaction of Sponsor) are subject to disqualification in the sole discretion of the Sponsor.

All votes are subject to verification at any time and for any reason. The Sponsor reserves the right, in its sole discretion, to require proof (in a form acceptable to the Sponsor): (i) for the purposes of verifying the eligibility and/or legitimacy of any vote or other information entered (or purportedly entered) for the purposes of this Contest; and/or (ii) for any other reason the Sponsor deems necessary, in its sole discretion, for the purposes of administering this Contest in accordance with the Sponsor’s interpretation of the letter and/or spirit of these Official Rules. Failure to provide such proof to the complete satisfaction of the Sponsor within the timeline specified by the Sponsor may result in disqualification of the applicable vote(s) that cannot be verified to the complete satisfaction of the Sponsor.

Individuals may encourage others to vote for an entry (e.g. via various social media sites and platforms); however, no form of incentive, inducement (including, without limitation, reciprocal voting sites and/or services), prize or chance of receiving any incentive, inducement, or prize may be offered as part of such encouragement in furtherance of receiving such individual’s vote for any entry. In addition, proxy voting schemes (or anything reasonably resembling a proxy voting scheme, as determined by Sponsor in its sole discretion) are hereby expressly prohibited. Any individual determined by the Sponsor and/or its representative(s) to be engaging in any such behaviours and/or in violation of the Sponsor’s interpretation of the letter and/or spirit of these Official Rules (all as determined in the sole discretion of the Sponsor) will be disqualified, and the corresponding vote(s), entry and/or entrant is/are subject to disqualification in the sole discretion of the Sponsor.

IMPORTANT NOTE: JUST BECAUSE A NUMBER OF VOTES APPEARS ON A CONTEST LEADERBOARD OR OTHERWISE DOES NOT MEAN THAT THE ENTRANT ASSOCIATED WITH THOSE VOTES IS OR WILL BE A SEMI-FINALIST. ANY OR ALL VOTES MAY BE VERIFIED BY THE SPONSOR IN ITS SOLE DISCRETION AT ANY TIME AND FOR ANY REASON. ANY SUCH PUBLIC DISPLAY OF VOTES IS FOR ENTERTAINMENT PROPOSES ONLY. ONLY THE SPONSOR CAN DEEM AN ENTRANT TO BE A SEMI-FINALIST.

6.2 The Panel Judging Phase: The Panel Voting Phase will take place from February 25, 2020 to February 28, 2020 between 9:00 a.m. ET and 11:59 p.m. ET and at Red Bull Canada 381 Queen Street W Suite 200 Toronto, ON M5V 2A5 (the “Panel Judging Phase”). During such period, a panel of independent judges will select the three (3) eligible winning teams out of the semi-finalists as described above. The selection of the eligible winners will be based on the application description filled out and the application Video provided during the Registration. The panel’s decision will be based on the following criteria: (i) creativity, (ii) “charm” of their application, (iii) energy and adventure factor (each criteria receiving equal weight consideration). In the event of a tie, the semi-finalists entries with the highest score under the criteria (i) shall be ranked higher, followed by criteria (ii) and followed by criteria (iii) until all relevant ties are broken. All decisions by the panel are final.

6.3 Odds of winning depend on the number of eligible entries, the number of eligible votes and entrant’s skill and ability to adhere to the judging criteria set out above.

6.4 Judging is scheduled to be completed on March 2, 2020 (the “Selection Date”).

7. GRAND PRIZES:

7.1 There will be a total of three (3) Grand Prizes (each, a “Grand Prize”) available to be won – one (1) by each of the confirmed winning teams as identified in accordance with Rule 6.2 (subject to compliance with these Official Rules).

7.2 Each Grand Prize consists of the opportunity for each member of the winning team to take part in the Event. Each of the three (3) participants on each winning team will be awarded the following (subject to compliance with these Official Rules): (i) two-way economy class air transportation from an international airport near the winner’s residence (or from a nearby airport to be designated by the Sponsor) to one of the five following cities: Manchester, Madrid, Rome, Budapest, Stockholm (the arrival city will be chosen by the Sponsor at its sole discretion) arriving on April 20, 2020, and back to their respective initial location departing on April 29, 2020; and (ii) standard accommodation for one (1) person for two (2) nights and food for the evening of April 20, 2020, and for the evening of April 28, 2020. The accommodation will be at the sole determination of the Sponsor and can include starred hotels or hostels. The total value of each Grand Prize will depend on the place of residence of each winning team member, on the city of arrival and on the costs at the moment of booking. The approximate retail value (“ARV”) of the Grand Prize is $1,400 CDN (before tax) per person. This ARV is based on a departure example from Toronto, Canada to an arrival example of Rome, Italy and a standard hotel room for single occupancy for two (2) nights. The total ARV for all the Grand Prizes is: $12,600 CDN.

7.3 All travel arrangements for the Grand Prizes detailed herein must be made through the Sponsor’s agent. The trip must be taken on dates required by the Sponsor or will be forfeited in its entirety and nothing will be substituted in its place. Any other costs and expenses associated with Grand Prize acceptance and use not specifically and expressly provided herein (such as security fees, gratuities, luggage fees and additional transportation, and incidental charges) are the responsibility of the Grand Prizewinners. Grand Prize winners will also require (and be responsible for the cost of obtaining) a valid passport with at least six (6) months validity and any required visas. Travel insurance and spending money are the specific responsibility of the Grand Prize winners. Grand Prize winners must possess and show all required valid travel documents, prior to departure (e.g. passport, ID, or other acceptable government-issued identification).

7.4 Each member of a Grand Prize winning team must: (i) fully comply with these Official Rules; and (ii) sign a Release of Liability/Publicity and any other documents provided to the team prior to receipt of the Grand Prize. Each Grand Prize winner must sign a Release of Liability/Publicity and any other documents provided to the entrant prior to travel. Once airline tickets have been ticketed, no changes will be permitted. The Sponsor will determine airline, airports, flight itinerary, and hotels in its sole discretion. Travel and accommodation restrictions, conditions, and limitations may apply. The Sponsor will not replace any lost, mutilated, or stolen tickets or travel vouchers.

7.5 The Sponsor reserves the right at any time to: (a) place reasonable restrictions on the availability or use of a Grand Prize or any component thereof; and (b) substitute a Grand Prize or a component thereof for any reason with a prize or prize component(s) of equal or greater retail value. Pease note that no travel or other costs will be reimbursed for the participation in the Contest.

7.6 TO THE EXTEND PERMITTED BY APPLICABLE LOCAL LAW: All Grand Prizes are awarded "AS IS." Neither Sponsor nor Sponsor Affiliates make offer any warranty or guarantee, either express or implied (including, without limitation, quality, merchantability and fitness for a particular purpose) in connection with this Contest or any prize. Grand Prize details and availability are subject to change, in which case a prize of equal or greater value may be substituted at Sponsor's sole discretion. Grand Prizes consist only of what is listed above, are non-transferable, with no cash redemption or substitution except at Sponsor's sole discretion. Prizes are subject to terms, conditions, expiration dates, and restrictions imposed by the manufacturer of the prize or issuer in the case of a gift card or similar instrument. Federal, provincial, and local taxes on prizes, if any, and any other costs, fees and expenses not listed above as specifically included as part of the prize are the sole responsibility of winner. ALL TAXES ARE THE SOLE RESPONSIBILITY OF THE WINNER.

7.7 No cash alternatives will be provided and Grand Prizes are non-transferable and non-refundable.

8. WINNER NOTIFICATION, RELEASES AND DELIVERY:

8.1 Sponsor will attempt to notify the winning entrants approximately forty-eight (48) hours after the Selection Date by e-mail or phone provided at time of entry. The contact details you provide with your Contest entry will be used to notify you of any prizes; please make sure they are correct.

8.2 The potential prize winners may be asked to provide confirmation that he or she is the owner of the relevant account. Each potential winner may be required, in Sponsor’s sole discretion, to complete and return an Affidavit of Eligibility, a scan or photo of a valid passport, Release of Liability and/or, if legally permissible, a Publicity Release within twelve (12) hours of attempted delivery of same before being declared a winner.

8.3 To be declared a winner, each of the selected entrant must: (i) respond to selection notification within a week of having been contacted per e-mail and/phone; (ii) correctly answer, without assistance of any kind, whether mechanical or otherwise, a time-limited mathematical skill-testing question administered at a mutually agreeable time by telephone; (iii) sign a Release of Liability/Publicity and return it duly completed and signed within seven (7) days of receipt thereof; and (iv) otherwise comply with these Official Rules.

8.4 In case a winner does not claim his/her prize within a week of having been contacted per e-mail and/or phone, or in case the winner drops out of participating in the Contest at any point, he/she, including their respective team, will have forfeited the prize and Sponsor reserves the right to determine an alternate winner based on the applicable procedures outlines in these Official Rules.

8.5 If a potential winner cannot be contacted, fails to correctly answer the skill-testing question, is disqualified, fails to timely execute and return any required forms, if the prize notification is returned as undeliverable, an alternate winner will be selected by Sponsor based on the applicable procedures outlines in these Official Rules.

8.6 If by reason of printing or other error, more prizes are claimed than the number of prizes set forth in these Official Rules, a random drawing will be held to award the advertised number of prizes in the relevant category. Under no circumstances will more than the advertised number of prizes be awarded.

9. NO LIABILITY & INDEMNIFICATION:

9.1 Sponsor undertakes to use reasonable efforts to maintain adequate hardware and software service for the Website and shall not be liable for: late, lost, delayed, damaged, misdirected, incomplete, illegible, or unintelligible entries; telephone, electronic, hardware, or software program, network, Internet, or computer malfunctions, failures, delays or difficulties; errors in transmission; prize notification deliveries attempted but not received; any loss suffered by anyone who enters or attempts to enter and/or participate in the Contest, whether the entry is lost, not submitted, wrongly processed or does not win.

9.2 By entering this Contest, you agree to release, discharge and hold harmless Sponsor, Sponsor Affiliates, and each of their respective directors, officers, employees, agents and assigns (the “Released Parties”) from any claims, losses, and damages arising out of, or relating to, your participation in this Contest or any Contest-related activities (including, without limitation, the Event) and the acceptance and use, misuse, or possession of any prize awarded hereunder (including, without limitation, any misrepresentation made by the entrant in connection with the Contest; any non-compliance by the entrant with these Official Rules; claims brought by persons or entities other than the parties to these Official Rules arising from or related to the entrant’s involvement with the Contest; acceptance, possession, misuse or use of any prize or participation in any Contest-related activity or participation in this Contest; any malfunction, error or other problem arising in connection with the collection, processing, or retention of entry information; or any typographical or other error in the printing, offering or announcement of any prize or winner). The foregoing includes, without limitation, any claim for personal injury, property loss or damage, or death arising in any way in connection with the Contest.

10. PRIVACY:

10.1 Sponsor and its authorized agents will collect, use, and disclose the personal information you provide at the time of entry to the Contest for the purposes of administering the Contest and prize fulfillment. Winners consent to the Sponsor’s use of their names, photographs, cities, voices, images and/or statements, related to their prize for publicity purposes in any manner or media including the internet, at any time, in perpetuity, without compensation.

10.2 The opportunity to receive other communications about Sponsor’s products, contests and other promotional offers may be provided by Sponsor.

11. OTHER TERMS: Decisions of Sponsor on all matters related to the Contest are final and binding. Subject only to the approval of the Régie des alcools, des courses et des jeux (the “Regie”) with respect to residents of Quebec and without responsibility and liability for any amount or kind of loss or damage that may result to you or any third party (whether direct or indirect), Sponsor reserves the right to cancel or modify the Contest for any reason, including but not limited to, if fraud, misconduct or technical failures destroy the integrity of the Contest, or if a computer virus, bug, or other technical problem corrupts the administration, security, or proper administration of the Contest as determined by Sponsor, in its sole discretion. Sponsor reserves the right to disqualify or prohibit the participation of an individual if fraud or tampering is suspected, or if the individual fails to comply with any requirement of participation or with any provision in these Official Rules. CAUTION: ANY ATTEMPT TO DELIBERATELY DAMAGE OR UNDERMINE THE OPERATION OF THIS CONTEST MAY BE A VIOLATION OF CRIMINAL & CIVIL LAWS. SPONSOR RESERVES THE RIGHT TO DISQUALIFY AND/OR SEEK DAMAGES FROM ANY INDIVIDUAL MAKING ANY SUCH ATTEMPTS TO THE FULL EXTENT PERMITTED BY APPLICABLE LAW. ALL DECISIONS RENDERED BY THE SPONSOR ARE FINAL AND WITHOUT APPEAL.

The Sponsor reserves the right, subject only to the approval of the Régie in Quebec, to adjust any of the dates, timeframes and/or other Contest mechanics stipulated in these Official Rules, to the extent deemed necessary by Sponsor, for purposes of verifying compliance by any entrant and/or other information with these Official Rules, or as a result of any technical or other problems, or in light of any other circumstances which, in the opinion of the Sponsor, in its sole discretion, affect the proper administration of the Contest as contemplated in these Official Rules, or for any other reason.

In the event of any discrepancy or inconsistency between the terms and conditions of these English Official Rules and disclosures or other statements contained in any Contest-related materials, including, but not limited to, the French version of these Official Rules, point of sale, television, print or online advertising and/or any instructions or interpretations of these Official Rules given by any representative of the Sponsor, the terms and conditions of these English Official Rules shall prevail, govern and control to the fullest extent permitted by law.

12. GOVERNING LAW: This Contest is subject to all applicable federal, provincial/territorial and local laws in Canada. To the fullest extent permitted by applicable law, all issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules or the rights and obligations of participants, Sponsor or any of the other the Released Parties in connection with the Contest will be governed by and construed in accordance with the domestic laws of the Province of Ontario and the federal laws of Canada applicable therein, without giving effect to any choice of law or conflict of law rules or provisions that would cause the application of any other jurisdiction’s laws. The parties hereby consent to the exclusive jurisdiction and venue of the courts located in Ontario in any action to enforce (or otherwise relating to) these Rules or relating to this Contest.

13. RIGHT TO DISQUALIFY: At any time during the Contest, Sponsor reserves the right in its sole discretion to disqualify and remove any entrant (and thereby automatically the entrant’s entire team) for any failure to observe these Official Rules or where applicable any other kind of illegal or inappropriate behaviour, including but not limited to: his/her behaviour during the Contest or any related activities at any point is disruptive, may or does cause damage to person, property or the reputation of the Sponsor; providing false information on the entry forms; for unsportsmanlike conduct or for general violations of the Official Rules. In the event that a selected entrant is disqualified, the prize and the right to participate will be forfeited and/or may be awarded to an alternate winner. No refund will be granted to any disqualified entrant for any reason. Individuals and teams disqualified from the Contest will be removed from the official results.

14. SEVERABILITY: If any provision(s) of these Official Rules are held to be invalid or unenforceable, all remaining provisions hereof will remain in full force and effect.

16. QUEBEC RESIDENTS ONLY: Any litigation respecting the conduct or organization of a publicity contest may be submitted to the Régie des alcools, des courses et des jeux for a ruling. Any litigation respecting the awarding of a prize may be submitted to the Régie des alcools des courses et des jeux only for the purpose of helping the parties reach a settlement.

17. INSTAGRAM, YOUTUBE AND VIMEO NOT INVOLVED: The Contest is in no way sponsored, endorsed or administered by, or associated with Instagram, YouTube or Vimeo. Any questions, comments or complaints regarding the Contest must be directed to the Sponsor and not to Instagram, YouTube or Vimeo. Instagram, YouTube and Vimeo are each hereby completely released of all liability by each entrant in this Contest.
